1. Introduction
Eagleton Productions Inc. is a Canadian company incorporated in British Columbia. We represent buyers, primarily in Asia, who seek reliable and legitimate suppliers of commodity goods. Our mission is to facilitate safe and fair international trade by sourcing authentic suppliers globally and connecting them with buyers through a secure, ICC-compliant process.
2. Scope of Services
Our services include:
- Sourcing Suppliers: Identifying and vetting legitimate suppliers to meet buyers’ requirements.
- Trade Agreement Facilitation: Managing documentation and ensuring compliance with ICC rules, including NCNDAs, LOIs, ICPOs, FCOs, and SPAs.
- Secure Transactions: Coordinating transactions through globally recognized banks using transferable Documentary Letters of Credit (DLC).
3. ICC Compliance
Eagleton Productions Inc. strictly adheres to the standards and practices established by the International Chamber of Commerce (ICC). This includes:
- Following the Uniform Customs and Practice for Documentary Credits (UCP 600) for DLC transactions.
- Ensuring that all trade agreements, documentation, and dispute resolution align with ICC guidelines.
4. Buyer Representation
Eagleton Productions Inc. provides comprehensive representation for buyers by:
- Ensuring supplier compliance with buyer specifications regarding product quality, volume, and delivery.
- Maintaining transparency in all trade-related communications.
- Safeguarding confidential information in accordance with signed NCNDA agreements.
5. Supplier Compliance
Suppliers engaging with Eagleton Productions Inc. must:
- Provide accurate and verifiable documentation, including proof of product and capacity.
- Adhere to local trade laws and ICC regulations.
- Comply with the terms outlined in signed agreements, including SPAs.
6. Confidentiality
- All parties must sign a Non-Circumvention, Non-Disclosure Agreement (NCNDA) to protect trade information.
- Eagleton Productions Inc. commits to safeguarding sensitive information and will not disclose it without prior written consent.
7. Payments and Transactions
- All financial transactions are processed through the top 50 global banks in accordance with ICC regulations.
- Payment terms, including transferable DLCs, are established in trade agreements and must be honored by all parties.
- Eagleton Productions Inc. does not directly handle funds but acts as a facilitator in secure transactions.
8. Limitation of Liability
Eagleton Productions Inc. is not liable for:
- The performance, quality, or delivery of goods by the supplier.
- Disputes between buyers and suppliers following agreement finalization.
- Losses or delays caused by banking institutions, customs, or unforeseen circumstances.
9. Dispute Resolution
In the event of a dispute:
- Disputes involving Eagleton Productions Inc. will be resolved through arbitration in accordance with ICC Arbitration Rules.
- Supplier and buyer disputes are subject to the governing laws of the supplier’s jurisdiction.
10. Governing Law
- For all agreements, Eagleton Productions Inc. complies with ICC standards and the governing laws of the supplier’s location.
- Our internal operations are governed by Canadian law.
11. Termination
Eagleton Productions Inc. reserves the right to terminate services if:
- A party breaches the NCNDA or other agreements.
- Fraudulent or inaccurate information is discovered.
- Obligations are not met by either party.
12. Amendments
We reserve the right to amend these Terms and Conditions at any time. Updates will be published on our official website and communicated to relevant parties.
13. Disclaimer
While Eagleton Productions Inc. performs due diligence on suppliers and buyers, we do not act as guarantors for their actions. All parties are responsible for their compliance with agreements and ICC regulations.
